Macro-market developments affecting capital formation by pre-IPO private and public emerging growth companies
The Securities and Exchange Commission is using a recent enforcement case against a Silicon Valley investment firm that operated a pre-IPO company share exchange to highlight the agency’s new scrutiny of investments which have returns pegged to liquidity events such as public offerings or acquisitions.
After a year-long process of introducing new, stiffer qualifications (and fees) for companies listed on the OTC Markets Group’s OTCQB market tier, the listing service has pared down the number of companies quoted on the “QB” by two-thirds, to just less than a thousand companies.
